‍1. ScopeThese Terms apply to contracts between Djoid GmbH ("Djoid", "we", "us") and users of Djoid ("User", "you").Djoid is available both to consumers and to professional or business users.
Consumer
is a natural person entering into a transaction predominantly for purposes outside their commercial or independent professional activity. Business Customeris a natural or legal person acting in the course of their commercial or independent professional activity.Where these Terms contain provisions that apply specifically to Consumers, they are identified accordingly.Mandatory statutory rights, particularly consumer rights, remain unaffected.2. The Djoid ServiceDjoid is desktop software for DJs designed to help users analyse, organise, explore, curate and work with their music libraries.Features may include, among other things:music library analysis;playlist and collection organisation;music discovery;musical similarity and relationship analysis;cue point and metadata tools;DJ library import and export;integrations with third-party DJ and music platforms; andother music intelligence and curation functionality. The exact functionality available may change as Djoid develops. The features, system requirements and limitations applicable to a particular subscription are those described on the Djoid website, checkout page or product documentation at the time of purchase.3. User AccountA Djoid account is required to use the Service.Users must provide accurate account information and keep their login credentials confidential.Accounts are personal and may not be shared, sold, rented or transferred to another person. The User is responsible for activity carried out through their account unless the activity results from circumstances for which Djoid is responsible.4. Software LicenceDuring an active subscription, Djoid grants the User a limited, non-exclusive, non-transferable and revocable licence to install and use the Djoid software in accordance with these Terms. The licence belongs to one individual User.Unless the relevant subscription plan states otherwise, the standard subscription permits use on one active device at a time.Users may use Djoid for personal and professional DJ activities, including commercial performances. The licence does not transfer ownership of Djoid or any intellectual property rights in the software.Users may not:share their licence or account with another person;resell, sublicense or transfer their licence;circumvent licence or access restrictions;obtain or activate Djoid through unauthorised or fraudulent means;copy or distribute Djoid except where legally permitted;reverse engineer, decompile or attempt to extract source code except to the extent such activity cannot legally be prohibited;interfere with the security or operation of Djoid; oruse Djoid in a manner that violates applicable law.5. Contract FormationThe presentation of Djoid on our website does not itself constitute a binding contractual offer.A User submits an order by completing the checkout process and confirming the purchase. Before completing the order, the User will be shown the applicable price, subscription period and material conditions of the subscription. The contract is concluded when Djoid accepts the order, normally by confirming the purchase or providing access to the Service. The User receives confirmation of the contract electronically.6. Prices and PaymentUnless otherwise stated during checkout, the standard Djoid subscription is billed annually in advance. The standard price may currently be displayed as €99 per year, but the price applicable to an individual purchase is the price shown to the User during checkout.Prices include applicable VAT where legally required.Djoid may occasionally offer:promotional prices;introductory discounts;discount codes;partner offers; orother temporary promotions.Unless an offer expressly states otherwise, a promotional or introductory discount applies only to the initial billing period. Before purchase, the User will be informed of the recurring subscription price that will apply after any introductory discount.Payments may be processed by third-party payment providers. If payment fails or an amount becomes overdue, Djoid may retry the payment and, after reasonable notice where required, temporarily suspend access until the outstanding amount has been paid.7. Subscription Term and Automatic Continuation7.1 Initial termUnless otherwise stated at checkout, the initial subscription term is 12 months beginning on the date the subscription is activated. The subscription fee for this period is payable in advance.7.2 Continuation after the initial termIf automatic continuation is enabled, the subscription does not automatically create another fixed 12-month minimum term after the initial term.Instead, after the initial contractual period, the subscription continues for an indefinite period.Djoid may continue to invoice the subscription annually in advance.Annual billing after the initial term does not create a new annual minimum contractual commitment.7.3 Cancellation after the initial termAfter the initial term, the User may terminate the continued subscription at any time with a notice period of no more than one month.Where an annual subscription fee has already been paid in advance, Djoid will refund the proportion of the prepaid subscription fee attributable to the period following the effective termination date. The User may also select a later termination date where the cancellation system permits this.7.4 Cancellation during the initial termUnless a statutory or contractual right to earlier termination applies, ordinary cancellation during the initial 12-month term takes effect at the end of that initial term.Cancellation prevents the subscription from continuing afterwards.7.5 How to cancelUsers may cancel their subscription using the subscription-management or cancellation function provided by Djoid.Where required by applicable consumer law, Djoid provides an online cancellation procedure enabling Consumers to submit and receive confirmation of their cancellation electronically.Cancellation of a subscription and requesting a refund are separate processes.8. 30-Day Money-Back GuaranteeDjoid voluntarily provides a 30-day money-back guarantee for the initial purchase of a Djoid subscription.A User may request a full refund within 30 days of the initial subscription purchase without giving a reason.Refund requests should be sent to:hotline@djoid.ioThe voluntary 30-day guarantee:applies to the first purchase of the subscription;does not automatically restart with subscription renewals or continued billing periods; anddoes not restrict any additional statutory rights the User may have.Renewal payments are therefore not covered by the voluntary first-purchase 30-day guarantee unless Djoid expressly states otherwise.Any statutory right to cancel, terminate, receive a price reduction or obtain a refund remains unaffected.9. Statutory Right of Withdrawal for ConsumersConsumers may have a statutory right to withdraw from contracts concluded online.Djoid provides Consumers with the legally required information regarding their right of withdrawal separately during or in connection with the purchasing process. The voluntary 30-day Djoid money-back guarantee exists in addition to the statutory withdrawal right and does not replace or reduce it.10. Updates and Development of DjoidDjoid is an actively developed software product. We regularly release updates, improvements, bug fixes, security updates, new features and changes to existing functionality.Users may be required to install updates in order to continue using Djoid correctly or securely.Djoid may modify the software where there is a legitimate reason for doing so, including:improving functionality or usability;adding new functionality;maintaining security;fixing technical problems;adapting to changes in operating systems or hardware;adapting to third-party platforms or APIs;complying with legal or regulatory requirements;replacing outdated technical systems; ordeveloping and improving the product.Changes will not result in additional charges during a prepaid billing period unless the User expressly agrees otherwise.Where applicable law requires advance notice of a change or gives a Consumer a right to terminate because a change materially and negatively affects use of the Service, Djoid will respect those rights.Nothing in this section limits the statutory rights of Consumers relating to digital products.11. Technical Requirements and CompatibilityDjoid requires compatible hardware, operating systems and local music files.Current technical requirements and supported formats are published on the Djoid website or documentation.Users are responsible for ensuring that their computer and other software satisfy the stated requirements.Third-party operating systems, DJ applications and music platforms may change independently of Djoid. Such changes may temporarily affect compatibility.Djoid will make reasonable efforts to maintain supported integrations but cannot guarantee that every third-party system will remain available indefinitely.Mandatory consumer rights remain unaffected.12. Local Music DataDjoid is designed so that the User's music library and creative music data remain on the User's device.Djoid does not ordinarily upload or store the User's:audio files;playlists;cue points;library organisation;creative curation decisions; orlocal track-analysis dataon Djoid servers.Music analysis is performed locally on the User's device.Djoid may collect limited technical and product-usage information, such as aggregate counts, application events, feature usage and technical diagnostics, in order to operate, secure and improve the Service.Djoid also processes account, authentication, billing and other information necessary to provide the User's account and subscription.Personal data is processed in accordance with Djoid's Privacy Policy and applicable data-protection law.13. User's Local DataThe User remains responsible for their local music files and other locally stored data.Djoid is not a cloud backup service.Users should maintain appropriate backups of their music library and any important files.Djoid does not acquire ownership of a User's music library, playlists or creative work by processing them locally. When a subscription terminates, the User's local music files and locally stored data remain on their device.Access to the Djoid application and licensed functionality may cease when the subscription ends.14. Third-Party Services and IntegrationsDjoid may integrate with third-party products and services such as DJ software, music platforms and music stores. Those third-party services are independently operated and may be subject to separate terms, privacy policies and account requirements.Djoid may allow Users to discover tracks from Beatport or add tracks to a Beatport shopping cart from within the Djoid experience.Where a User purchases music from Beatport:the purchase is made through the User's Beatport account;the transaction is completed with Beatport;Beatport is responsible for the sale and delivery of the purchased music; andBeatport's terms and conditions apply to that purchase.Djoid is not the seller of music purchased through Beatport unless expressly stated otherwise.Djoid is not responsible for third-party services being modified, unavailable or discontinued where this is outside Djoid's control, subject always to mandatory statutory rights.15. Availability and SupportDjoid does not guarantee uninterrupted availability of the Service.Temporary interruptions may occur because of:maintenance;software updates;security incidents;infrastructure problems;third-party service failures; orcircumstances outside Djoid's reasonable control.Djoid does not provide a guaranteed service-level agreement or guaranteed support response time unless expressly agreed in writing. We nevertheless aim to maintain a reliable Service and address significant technical issues within a reasonable period.16. Suspension and Termination by DjoidDjoid may temporarily suspend or, where appropriate, terminate a User's access where there is a legitimate reason, including where the User:uses a stolen, fraudulent, pirated or unauthorised licence;shares or resells their licence;materially violates these Terms;attempts to circumvent technical protection measures;attacks, manipulates or interferes with Djoid systems;uses the Service fraudulently or illegally; orseriously misuses the Service.Except where immediate action is reasonably necessary for security, fraud prevention or legal reasons, Djoid will normally provide reasonable notice and an opportunity to remedy the violation before permanent termination.A suspension or termination by Djoid does not affect statutory rights of the User.Where Djoid terminates a prepaid subscription without fault by the User, Djoid will refund the unused proportion of the prepaid subscription fee.17. Intellectual PropertyDjoid, including its software, design, source code, algorithms, interfaces, branding, graphics and documentation, is protected by intellectual-property law.All intellectual-property rights in Djoid remain with Djoid GmbH or its respective licensors. These Terms grant only the right to use Djoid during the applicable licence period.Nothing in these Terms transfers ownership of Djoid's intellectual property to the User.Third-party trademarks and names remain the property of their respective owners.18. Defects and Statutory RightsConsumers have statutory rights relating to the conformity, availability, updates and defects of digital products. These statutory rights are not restricted by these Terms. If Djoid does not function as contractually required, Consumers may have statutory rights including rectification, price reduction, termination or reimbursement depending on the circumstances.Business Customers also retain any rights that cannot legally be excluded or restricted.Users experiencing technical problems should contact:hotline@djoid.io19. LiabilityDjoid has unlimited liability where damage results from:intentional misconduct or gross negligence;injury to life, body or health;liability under mandatory product-liability legislation;a guarantee expressly given by Djoid; orother circumstances where liability cannot legally be limited. In cases of ordinary negligence, Djoid is liable for breach of material contractual obligations whose performance is essential to proper performance of the contract and on whose fulfilment the User can ordinarily rely.In such cases, liability is limited to damage that was foreseeable and typical for this type of contract.Otherwise, liability for ordinary negligence is excluded to the extent permitted by law.The above limitations also apply to Djoid's employees, representatives and agents.Mandatory statutory consumer rights remain unaffected.20. Price ChangesDjoid may change the price of subscriptions prospectively.A price change does not affect a billing period that has already been paid.Users will be informed in advance of any change that affects future payments. For Consumers, price changes will only take effect to the extent permitted by applicable law. Where Consumer consent is legally required, the new price will not become binding without that consent. The User remains entitled to cancel the continued subscription in accordance with Section 7.21. Changes to These TermsDjoid may update these Terms to reflect:changes in law;regulatory requirements;security requirements;technical developments;changes to the Service; orcorrections and improvements to the contractual documentation.Updated Terms automatically apply to contracts concluded after the effective date of the updated version. For existing contracts, changes will apply only where they have been validly agreed or where applicable law permits the change without additional agreement.Djoid will inform Users of material changes where required.Continued use of the Service will not by itself remove statutory rights or constitute consent where express consent is legally required.22. Consumer Dispute ResolutionWhere Djoid is legally required to provide information concerning consumer dispute resolution, the applicable information will be made available on the Djoid website.Unless Djoid expressly states otherwise or participation is legally required, Djoid does not undertake to participate in dispute-resolution proceedings before a consumer arbitration body.23. Governing LawThese Terms and contractual relationships with Djoid are governed by the laws of the Federal Republic of Germany. For Consumers, this choice of law does not deprive the Consumer of mandatory protections that apply under the law of the country in which the Consumer has their habitual residence.24. JurisdictionFor Consumers, the applicable statutory rules concerning jurisdiction apply. For Business Customers who are merchants, legal entities under public law or special funds under public law, Berlin, Germany is agreed as the place of jurisdiction to the extent legally permitted.25. SeverabilityIf an individual provision of these Terms is or becomes invalid or unenforceable, the remaining provisions remain unaffected. The applicable statutory rules apply in place of any invalid provision.26.
